TOWARDS A COMMUNITY TRANSITION IN WINDERMERE

 

1.  Aims

The aims of Towards a Community Transition in Windermere (TACT) are to:

  1. Use the Transition Town model to raise awareness of the issues associated with climate change, the peaking of global oil supplies and the need to strengthen the local economy.
  2. Reduce carbon emissions in Windermere Parish significantly (in response to climate change)
  3. Increase community resilience significantly (in response to peak oil)
  4. Actively work with other stakeholders to achieve i to iii above

 

Detailed objectives designed to deliver these aims will be developed by the various sub-groups and approved by the Steering Group

 

TACT welcomes the involvement of all residents of Windermere Parish and of people working in the Parish, regardless of gender, age, race, sexual preference, ability, religion or politics.

 

2.  Powers

TACT shall have the power to do all such lawful things as are necessary for the attainment of the aims.

 

3.  The Steering Group

a) The Steering Group (SG) is responsible for the management and administration of TACT.  The SG will comprise of not less than three and not more than ten people.  The SG, including a chairperson, secretary and treasurer, will be elected annually at the Annual General meeting.  A member from each of the TACT sub-groups will represent the group on the SG.

b)  The SG will meet at least four times a year.  At least one week’s notice will be given to each member of the Steering Group.  The quorum will be one third or two members of the SG, whichever is greater.

c)  In order to ensure the smooth and efficient operation of TACT, the SG has the power to welcome and adopt sub-groups to contribute to TACT’s aims.

d)  No SG member may speak or vote on any matter in which s/he is directly or indirectly financially interested and must declare such an interest to the SG.

Interested people may attend SG meetings by arrangement or suggest items for the agenda.

 

4.  Annual General Meeting

a)  An Annual General Meeting (AGM) will be held in March each year to consider the following business:

i.  the report of the previous year’s activities

ii.  a financial report of the previous year

iii.  the appointment of an auditor (who must not be a SG member)

iv.  the election of the SG

v.  any proposed amendments to this constitution or any other properly notified business

 

b)  All members will be given 14 days clear notice of the AGM either in person or by public displays

 

c)  Each SG member and each member of the sub-groups have one vote and all decisions are to be carried by a simple majority of those present and voting, except that amendments to the constitution and dissolution of TACT require a two-thirds majority of those present and voting.  Proxy votes are not allowed.  The quorum for an AGM will be half of the current members of the SG.

 

5.  Finance

a)  The income and property of TACT will be applied solely toward the promotion of the aims of TACT.  No portion will be paid or transferred directly or indirectly by way of profit to members of TACT.  However, agreed reasonable expenses incurred on behalf of TACT will be met.

 

b)  The treasurer will keep proper records of the finance of TACT.  TACT will hold its funds in the Co-operative Bank.  This account will be in the name of TACT and will require two signatures from three authorised signatories to withdraw funds.

 

6.  Dissolution

a)  If the SG considers that it is necessary or advisable to dissolve TACT, it will call a meeting giving not less than 14 days notice of the resolution to be considered.  If such a decision is approved by a simple half majority of those present and voting, TACT will be dissolved.

 

b)  In the event of dissolution, any remaining assets will not be distributed among the members of  the SG, but will be distributed to other local organisations having similar aims to TACT.
